Overview:
The West Linn Lions and West Linn Riverview Lions Clubs formed the Lions Foundation of West Linn to create a non-profit organization to enable tax-deductible donations. Since the termination of the Riverview Lions Club, the Foundation is composed of members from the West Linn Lions Club only. The Oregon Secretary of State granted the Foundation's incorporation on May 4, 1999, approving its Articles of Incorporation. The US Internal Revenue Service granted 501.(c).(3) status on Nov. 30, 1999 enabling subsequent tax-deductible donations.
Purpose:
The Foundation is a non-profit corporation for public benefit. The purpose of the Foundation, as set forth in it's Article of Incorporation, and from time to time amended, shall be within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954, namely:
Membership:
Members in good-standing of both the West Linn Lions Clubs are automatically also members of the Foundation with full voting rights.
Directors:
There are 5 members on the Foundation's Board of Directors. Foundation Directors serve 3-year terms, except for the Club President who serves a 1-year term. The 4 non-president Directors rotate through their terms to minimize new Directors each year. The non-president Directors may serve 2 consecutive 3-year terms. Each year the Club President nominates replacements for a Director that is rotating off the Foundation Board.
Officers:
Each year at their first meeting, the new Board of Directors elect officers for the full year. In addition, at the last meeting of the year, the Board elects an interim President who serves until the new Foundation Board President is elected. The current Foundation Board officers are:
Meetings:
The Board of Directors meet at least quarterly during the year, but may meet more frequently, as needed. The full Foundation membership meets annually in February in order for the Foundation Board to report status of the Foundation to the full membership.
Funds:
The Foundation holds funds in separate accounts that are controlled by individuals, families, or the Club. Accounts are associated with the Foundation or the Club. The Foundation maintains its own accounts for grants received or administration of the Board. The Treasurers Report describes the various accounts and who is responsible for controlling the funds in that account. The Treasurer also reports on transactions recorded for each month and current account balances.
